Terms & Conditions

Strix Coding is a digital technology and creative services company. Our services may include Website Design & Development, Branding & Graphic Design, SEO & Digital Marketing, E-Commerce Solutions, Custom Software Development, Website Care & Support, Website Hosting or Hosting Management, Digital Strategy & Consulting, and integrations, automation, and related technology services.

The specific services included in each client engagement will be described in the applicable proposal, service agreement, statement of work, invoice, or other written communication. Services not expressly included in the agreed project scope are not automatically included in the project price.

Proposals, estimates, and quotations provided by Strix Coding are based on the information available to us when they are prepared. A project may be considered accepted when the client signs an applicable agreement, electronically accepts a proposal, provides written authorization to proceed, or makes a required deposit or initial payment. Unless otherwise stated, proposals may be subject to expiration and may be revised if project requirements materially change before work begins.

Each project is limited to the services and deliverables specifically included in the agreed scope. Requests for additional pages, features, integrations, designs, functionality, revisions, content, automation, development, consulting, or other services may constitute additional work. Strix Coding may provide a revised estimate, additional invoice, change order, or updated project timeline before completing work outside the original scope.

Projects may require a deposit or initial payment before work begins. Payment schedules will be stated in the applicable proposal, agreement, or invoice. Unless expressly stated otherwise in writing, deposits secure project scheduling and the allocation of company resources; payments for work already performed are non-refundable; third-party expenses incurred on behalf of a client are non-refundable once incurred; outstanding invoices must be paid according to their stated payment terms; and final deliverables may be withheld until all amounts due for the applicable project have been paid. Strix Coding may suspend work on accounts with overdue balances.

Clients should contact Strix Coding directly regarding billing questions or disputes so that we have an opportunity to review and resolve the matter. Initiating an improper payment reversal or chargeback for legitimately authorized services does not eliminate amounts otherwise owed under an applicable agreement. Strix Coding reserves all rights and remedies available under the applicable agreement and law to recover valid outstanding balances and associated costs where permitted.

Clients are responsible for timely providing requested text, photographs, media, logos, brand materials, product information, login credentials, domain and hosting access, business information, legal policies and disclosures, approvals, feedback, and other information reasonably necessary to complete the project. Clients are responsible for ensuring that information supplied to Strix Coding is accurate and authorized for use.

Project timelines depend in part on timely communication and cooperation. If required materials, approvals, feedback, payments, or access are delayed, the project's completion date may also be delayed. If a client becomes unresponsive for an extended period, Strix Coding may place the project on inactive status. Restarting an inactive project may be subject to current scheduling availability and additional fees where substantial administrative or redevelopment work is necessary.

Projects may include a specified number or scope of revisions. A revision generally means a reasonable modification to work already presented—not an entirely new concept, redesign, feature set, or change in project direction. Requests beyond the revisions included in the applicable project scope may be billed separately.

Strix Coding makes commercially reasonable efforts to meet agreed project schedules. Unless expressly guaranteed in a written agreement, project dates are estimates rather than guarantees. Schedules may be affected by client response times, changes in scope, revision requests, third-party delays, technical complications, delayed payments, hosting or server issues, software or API changes, and events outside our reasonable control.

Before a website or other digital project is launched, the client may be asked to review and approve the final version. The client is responsible for reviewing contact information, pricing, product descriptions, business information, links, forms, policies, images, spelling, content, and material functionality. Client approval to launch constitutes acceptance of the deliverable in its then-current form, subject to unresolved items documented in writing. Material changes requested after approval or launch may be treated as maintenance or additional project work.

Unless otherwise stated in a written agreement, ownership of final custom deliverables created specifically for a client will transfer to the client after Strix Coding receives full payment for those deliverables. Until full payment is received, Strix Coding retains its rights in unpaid work product to the extent permitted by law and the applicable agreement. Transfer of ownership does not include third-party materials or Strix Coding's pre-existing intellectual property.

Strix Coding retains ownership of its pre-existing and independently developed software tools, frameworks, code libraries, components, templates, development techniques, processes, systems, internal utilities, know-how, methodologies, and reusable technology. These materials may be incorporated into client projects without transferring ownership of the underlying Strix Coding intellectual property.

Delivery of a completed website, graphic, application, or other project does not automatically require delivery of every internal working file, development environment, proprietary library, licensed component, raw design file, or internal production asset. Source files, editable design files, repositories, or other development materials will be provided when specifically included in the applicable project scope or otherwise agreed in writing.

Projects may contain third-party fonts, stock photography, videos, plugins, themes, libraries, APIs, software, icons, templates, code, or other licensed materials. These materials remain subject to the terms and licenses established by their respective owners. The client's ownership of a final project does not override third-party licensing requirements.

Clients represent that they possess the necessary rights and permissions to use materials they provide to Strix Coding, including logos, photographs, trademarks, videos, music, written content, customer information, product images, and other intellectual property. The client is responsible for claims resulting from client-supplied materials that infringe another person's intellectual property, privacy, publicity, or other rights.

Strix Coding may use modern development, design, automation, productivity, and artificial-intelligence-assisted tools as part of our internal workflow when appropriate. Such tools may assist with ideation, development, testing, research, content preparation, image creation, optimization, or workflow efficiency. Where third-party AI or technology services are used, their separate terms and limitations may also apply.

Unless otherwise agreed in writing or prohibited by an applicable confidentiality obligation, Strix Coding may display publicly released client work in our portfolio, website, social media, marketing materials, presentations, case studies, and award submissions. Portfolio use does not authorize Strix Coding to intentionally disclose confidential client information.

If Strix Coding assists with registering or managing a domain, the applicable domain remains subject to the registrar's policies and fees. Clients should maintain accurate ownership, administrative, and payment information. Strix Coding is not responsible for domain expiration, loss, transfer restrictions, or third-party actions caused by circumstances outside our control, including a client's failure to maintain required payment or account information.

Hosting services may be provided directly, managed by Strix Coding, or supplied by a third party. No hosting environment can guarantee uninterrupted availability. Unless expressly guaranteed in a written service-level agreement, Strix Coding does not guarantee 100% uptime.

Modern websites and software frequently depend on external technology, including search engines, social platforms, content management systems, e-commerce platforms, payment processors, hosting providers, domain registrars, analytics platforms, email providers, APIs, plugins, and cloud infrastructure. Strix Coding does not control these third parties and is not responsible for changes to their pricing, functionality, policies, algorithms, availability, compatibility, approval processes, account restrictions, or terms of service.

SEO is influenced by search engines, competitors, website authority, content, market conditions, user behavior, and other factors outside Strix Coding's control. Unless expressly guaranteed in a separate written agreement, Strix Coding does not guarantee a #1 ranking, first-page placement, specific traffic volumes, a particular number of leads, conversion rates, or revenue results.

Marketing results depend on numerous factors beyond Strix Coding's control. Advertising platforms may reject advertisements, suspend accounts, modify algorithms, change pricing, or alter targeting capabilities. Strix Coding does not guarantee specific advertising or marketing results unless expressly agreed in writing. Advertising spend paid to third-party platforms is separate from Strix Coding's service fees unless expressly stated otherwise.

Clients operating e-commerce businesses are responsible for their products and services, pricing, inventory, sales taxes, shipping, refund policies, returns, customer service, product claims, regulatory requirements, and merchant accounts. Strix Coding does not become the seller or merchant of record merely by developing or maintaining an e-commerce website.

Payment processing may be handled by third-party providers. Strix Coding is not responsible for processor fees, holds, chargebacks, account suspensions, transaction declines, processing delays, security policies, or changes in service. Clients are responsible for complying with the requirements of their selected payment processor.

Custom software may interact with browsers, operating systems, APIs, databases, servers, devices, and third-party systems that evolve over time. Strix Coding will make commercially reasonable efforts to deliver software according to agreed specifications. Future updates required because of external technology changes may constitute additional work unless an ongoing support agreement provides otherwise.

Software and websites can occasionally experience bugs or unexpected behavior. The discovery of a bug does not automatically mean Strix Coding breached an agreement. We will evaluate whether an issue relates to the original scope, subsequent modifications, third-party technology, hosting, client actions, or another cause. Corrections covered by an applicable warranty or support agreement will be handled according to that agreement.

Strix Coding cannot be responsible for problems caused by modifications made by the client or another developer, agency, contractor, administrator, plugin, application, or third party after delivery. We may assist with diagnosing or correcting such problems as a separate service.

Unless an active Website Care & Support plan or other maintenance agreement is in place, project completion does not include indefinite maintenance. After delivery, clients are responsible for applicable software and plugin updates, backups, security, content updates, hosting, domain renewals, and third-party subscriptions.

Strix Coding uses reasonable practices appropriate to the services being provided, but no digital system can be guaranteed completely secure. Clients are responsible for secure passwords, authorized users, appropriate authentication measures, and promptly informing us of known or suspected security incidents affecting accounts relevant to our services.

Clients should maintain appropriate copies of important business data and digital assets. Where backup services are specifically included in a maintenance or hosting agreement, those services will be provided according to that agreement. Unless expressly agreed otherwise, Strix Coding is not the client's permanent data-storage or archival provider.

Strix Coding may implement design and development practices intended to improve website accessibility. Accessibility requirements vary by jurisdiction, industry, technology, and applicable law. Unless expressly included as a specific contracted service, Strix Coding does not guarantee certification or complete compliance with any particular accessibility standard or law.

Clients are responsible for determining the privacy notices, terms of service, disclaimers, cookie notices, industry disclosures, and other legal documents required for their business. Strix Coding may assist with technical placement or implementation but does not provide legal advice. Clients should obtain advice from qualified legal counsel regarding their specific obligations.

Each party agrees to use reasonable measures to protect confidential information obtained through the business relationship. Confidential information does not include information that is publicly available without breach, independently developed, lawfully known before disclosure, or lawfully obtained from another source. More extensive confidentiality requirements may be established through a separate agreement.

Cancellation and termination rights may be further defined in the applicable project agreement. If a project is terminated after work begins, the client remains responsible for amounts earned for services performed and approved expenses incurred through the effective termination date. Strix Coding may terminate or suspend a project for material breach, persistent nonpayment, unlawful activity, abusive conduct, security concerns, or other circumstances that reasonably prevent continuation.

Strix Coding does not guarantee revenue, profit, sales, leads, customer acquisition, market share, search rankings, investment returns, or business success. Past client results do not guarantee future results.

Except for warranties expressly provided in a written agreement and to the fullest extent permitted by law, our website and services are provided on an “as is” and “as available” basis. Strix Coding disclaims implied warranties to the extent those warranties may legally be disclaimed. Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

To the fullest extent permitted by applicable law, Strix Coding LLC and its members, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to our website or services, including, where permitted by law, loss of profits, revenue, business opportunities, goodwill, or data. Unless otherwise required by law or expressly agreed in writing, Strix Coding's aggregate liability arising from a particular service engagement will not exceed the fees actually paid to Strix Coding for the services directly giving rise to the claim.

To the extent permitted by applicable law, clients agree to defend, indemnify, and hold harmless Strix Coding LLC and its members, employees, contractors, and representatives from third-party claims, liabilities, damages, and reasonable expenses arising from client-provided materials, the client's products or services, the client's violation of law, infringement of third-party rights, or unauthorized or unlawful use of deliverables.

Strix Coding will not be responsible for delays or failures caused by events outside our reasonable control, including natural disasters, severe weather, governmental actions, labor disruptions, war, civil disturbances, widespread telecommunications failures, power outages, cyber incidents affecting external infrastructure, hosting outages, or failures of major third-party technology providers.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Unless a separate written agreement provides otherwise, any legal proceeding arising from these Terms will be brought in a court of competent jurisdiction in Texas, subject to applicable law.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law. The affected provision will be interpreted or modified only to the extent necessary to make it enforceable where permitted.

A failure by Strix Coding to enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.

These Terms, together with any applicable proposal, service agreement, statement of work, invoice terms, or other written agreement, constitute the applicable agreement between the parties regarding the matters they cover. Project-specific written agreements take precedence over these general Terms when there is a conflict concerning that project.

We may update these Terms periodically to reflect changes in our services, technology, business practices, or legal requirements. The date at the top of this page indicates when these Terms were most recently updated. Updates to these website Terms do not retroactively change separately executed client agreements unless the parties agree otherwise.
